1. Acceptance of terms
By accessing or using Analytise ("Service") operated by Analytise ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of service
Analytise provides web analytics, including traffic and visitor metrics, custom goals, and related reporting. The Service is offered as-is and we may change, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.
3. Account and eligibility
You must create an account to use the Service. You must provide accurate information and keep your account credentials secure. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for all activity under your account.
4. Acceptable use
You agree not to: (a) use the Service for any illegal purpose or in violation of any laws; (b) attempt to gain unauthorised access to the Service, other accounts, or our systems; (c) interfere with or disrupt the Service or other users; (d) use the Service to collect or process personal data in a way that violates applicable privacy laws (e.g. without a proper legal basis or notice); (e) resell or sublicense the Service without our written consent; or (f) use automated means to scrape or overload the Service beyond normal use. We may suspend or terminate accounts that we reasonably believe violate these Terms.
5. Your data and privacy
You retain ownership of the data you submit to the Service. Our collection and use of data is described in our Privacy Policy. By using the Service, you also agree to that policy. If you embed our analytics script on your website, you are responsible for ensuring that your use (including any notices or consent) complies with applicable law (e.g. GDPR, ePrivacy) for your visitors.
6. Intellectual property
We own the Service, our brand, and the underlying technology (excluding your data). We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with these Terms. You may not copy, modify, or create derivative works of the Service or reverse-engineer our systems except as permitted by law.
7. Payment and subscription
Paid plans are billed according to the pricing displayed at sign-up or on our website. Fees are non-refundable except where required by law or as stated in our refund policy. We may change pricing with notice; continued use after a price increase constitutes acceptance. You are responsible for any taxes applicable to your use of the Service.
8. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, secure, or free of errors. Analytics and reports are for informational purposes and we do not guarantee their accuracy or completeness.
9. Limitation of liability
To the maximum extent permitted by law, we (and our affiliates, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars (USD 100), whichever is greater. Some jurisdictions do not allow certain limitations; in such cases our liability will be limited to the maximum permitted by law.
10. Indemnification
You agree to indemnify and hold harmless Analytise and its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms or any law; or (c) your violation of any third-party rights, including privacy rights of visitors to your website.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, for non-payment, or for any other reason with notice where reasonable. On termination, your right to use the Service ends. We may retain and use your data as permitted by our Privacy Policy and applicable law (e.g. for backups or legal compliance).
12. Changes to the terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be notified by email or a notice in the product. Continued use of the Service after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Service.
13. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Analytise regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce a right does not waive that right. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets. These Terms are governed by the laws of the jurisdiction in which Analytise operates, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory law.
